Terms of Service

These Terms of Service (the “Terms”) are an agreement between you and Omnia Data Tech (“Omnia,” “we,” “us”) governing your use of Omnia Ledger — our bookkeeping software available at app.omnialedger.com (the “Service”). By creating an account or using the Service, you agree to these Terms and to our Privacy Policy. If you do not agree, do not use the Service.

1. The Service

Omnia Ledger helps individuals and businesses track transactions, categorize income and spending, connect financial accounts, manage receipts and documents, and — on Practice plans — manage bookkeeping for clients. The Service is software: it organizes and presents the financial information you provide or connect.

2. Not professional advice

Omnia Ledger is not an accounting, tax, legal, or financial-advisory firm. Automatic classifications, categories, reports, reminders (including filing reminders), and insights are informational tools, not professional advice. You are responsible for the accuracy of your books and filings. Consult a qualified accountant, tax professional, or attorney for advice about your specific situation.

3. Your account

  • You must be at least 18 years old and able to form a binding contract to use the Service.
  • Provide accurate registration information and keep it current.
  • You are responsible for your credentials and all activity under your account. We strongly recommend enabling two-factor authentication (Settings → Sign-in & security). Notify us promptly at support@omniadatatech.com if you suspect unauthorized access.

4. Plans, trials, and billing

  • The Service is offered on paid subscription plans — currently Starter ($12/month or $120/year), Pro ($29/month or $290/year), and Practice ($49/month or $490/year, which includes 3 client books; additional client books are $12/month each). Current pricing and plan limits are always shown in the app.
  • New accounts start with a 7-day free trial. When the trial ends, continued use requires choosing a paid plan. We do not offer a free tier.
  • Payments are processed by our payment processor; we do not store your full card details. Subscriptions renew automatically each billing period until canceled. You can cancel anytime, effective at the end of the current billing period; fees already paid are non-refundable except where required by law.
  • We may change prices or plan features with at least 30 days’ notice (for example, by email or in-app notice) before they apply to your next renewal.

5. Your data and client data

  • You own the information you add to the Service — transactions, categories, documents, receipts, contacts, and other records (“Your Content”). You grant us the limited rights needed to host, process, back up, and display Your Content in order to run the Service.
  • If you use a Practice plan or shared access to manage books for other people or businesses, you represent that you have the authority (for example, your client’s engagement or consent) to do so, and you are responsible for your obligations to those clients. We process client records as part of your account, on your instructions.
  • We will not sell Your Content or use it to advertise to third parties.

6. Bank and account connections (Plaid)

You can connect financial accounts through Plaid Inc. By connecting an account, you grant Omnia and Plaid the right to retrieve information from your financial institution — such as balances and transactions — on your behalf, and you agree that your data will be transferred to Plaid in accordance with the Plaid End User Privacy Policy. You can disconnect linked accounts at any time; contact support if you need help removing a connection.

7. Acceptable use

You agree not to: use the Service for unlawful purposes (including money laundering or fraud); access another person’s books without authority; probe, disrupt, or overload the Service; reverse engineer it except where the law permits; resell it without our written agreement; or upload malicious code.

8. Availability and changes to the Service

We work to keep the Service available and improving, and we may add, change, or remove features over time. Some features may be labeled beta or “coming soon.” We may suspend the Service for maintenance or to protect its integrity. We are not liable for outages of third-party providers (for example, banking data networks or hosting providers), though we will make reasonable efforts to restore service promptly.

9. Termination

  • You may stop using the Service at any time. To delete your account and data, contact support@omniadatatech.com — we will remove your account and associated data as described in the Privacy Policy.
  • We may suspend or terminate your access if you materially breach these Terms, if your account is long overdue on payment, or if required by law. Where practical, we will notify you and give you a chance to export your data.

10. Disclaimers

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR THAT DATA RETRIEVED FROM THIRD PARTIES (INCLUDING FINANCIAL INSTITUTIONS) WILL BE COMPLETE OR ACCURATE.

11. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, OMNIA WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, OR DATA. OUR TOTAL LIABILITY FOR ALL CLAIMS RELATING TO THE SERVICE IS LIMITED TO THE AMOUNTS YOU PAID US IN THE 12 MONTHS BEFORE THE CLAIM AROSE. SOME JURISDICTIONS DO NOT ALLOW CERTAIN LIMITATIONS, SO PARTS OF THIS SECTION MAY NOT APPLY TO YOU.

12. Indemnification

You will indemnify and hold Omnia harmless from claims arising out of Your Content, your use of the Service in violation of these Terms, or your violation of law or the rights of a third party (including your clients).

13. Changes to these Terms

We may update these Terms from time to time. Each version is dated and numbered at the top of this page. For material changes we will give notice — by email or in the app — before the changes take effect. Continued use of the Service after the effective date constitutes acceptance of the updated Terms.

14. Governing law

These Terms are governed by the laws of the State of Florida, USA, without regard to conflict-of-law rules. Disputes will be resolved in the state or federal courts located in Florida, and you consent to their jurisdiction.
